Information for Vendors

Vendors interested in making their e-resources available to public libraries at their choice can do so by completing the Supplemental Licensing Vendor Participation Form.

In addition to the Provincial Licensing program, SOLS would like to make other digital content products available to Ontario public libraries at their choice through the Supplemental Licensing program. The following criteria will apply:

  • Pricing must be better than what libraries would pay through individual subscriptions
  • Pricing must be valid for a minimum of one year
  • Vendors must agree to the basic license term guidelines listed below
  • Libraries will place orders directly with SOLS
  • Vendors will bill libraries directly
  • Duplication and competition is allowed - multiple vendors may offer similar products
  • Products negotiated by other consortia (e.g. Consortia Canada) are also posted here

After the submission deadline, SOLS will review and choose products based on library needs and price. Supplemental Licensing products will then be posted on the SOLS web site with ordering instructions for libraries. After the ordering period, SOLS forwards all orders to vendors, who then contact libraries directly for set-up and billing.


Basic License Term Guidelines:

  • Clear definitions of what constitutes a user, how and where usage may take place (e.g. on site, remote)
  • Defined usage rights and limitations
  • Precise license term with no automatic renewals
  • Pricing in Canadian dollars with HST indicated separately, and collected and remitted by the vendor
  • Uptime rate and details of user support indicated
  • Training requirements and inclusion of training and additional costs if any clearly stated
  • 30 day remedy period for either party in case of a breach of the agreement
  • Pro-rated cash refund in case the breach cannot be remedied
  • Users notified before significant changes to content or interface, with option to terminate before end of term with pro-rated refund if changes are not acceptable
  • Measures taken by your organization to protect the privacy and personally identifiable information of users clearly described
  • Warranties and limit to warranties clearly stated
  • The laws of the Province of Ontario apply
